1. Who we are and what these terms cover
Clubhouse is a football-club digital operations platform operated by Digital Dignified Solutions (“DDS”, “we”, “us” or “our”), Mengo, Kampala, Uganda. You can contact us at admin@digitaldignifiedsolutions.com.
These Terms form a binding agreement between DDS and each person or organisation that accesses or uses Clubhouse. “Club” means a football club or other organisation that creates or controls a workspace. “User” includes club owners, staff, supporters, ticket buyers, members, media applicants and gate agents. A Club may publish its own additional ticket, membership, venue or accreditation rules; where those rules conflict with these Terms, mandatory law and these Terms control for the Clubhouse service itself.
2. Acceptance and authority
By creating an account, accepting an invitation, purchasing through Clubhouse, or otherwise using an authenticated service, you agree to these Terms and acknowledge the Privacy Notice. If you act for a Club, you confirm that you have authority to bind that Club. If you do not agree, do not use the service.
You must be at least 18 years old and legally capable of entering a contract. A person under 18 may use supporter-facing features only with the involvement and consent of a parent or legal guardian, who is responsible for that use.
3. Accounts and access
Provide accurate information, keep credentials confidential, use individual accounts rather than shared logins, and promptly report suspected compromise. You are responsible for activity under your account unless caused by our breach of duty. Club owners and authorised administrators control workspace roles, invitations and permissions. A Club is responsible for reviewing access when staff duties change or end.
We may require identity, authority or payment verification and may refuse, restrict or suspend access where reasonably necessary to protect users, Clubs, the platform or legal compliance.
4. Club responsibilities and content
Clubs control the material and records they upload or publish, including news, photographs, player and staff details, fixtures, pricing, sponsor material, ticket allocations and accreditation decisions. Each Club must ensure that its content is accurate, lawful, appropriately licensed, non-infringing, and supported by all necessary notices and permissions, especially for children, player records, photographs and employment or contract information.
You retain ownership of content you submit. You grant DDS a worldwide, non-exclusive, royalty-free licence to host, copy, process, display and transmit that content only as needed to operate, secure, support and improve Clubhouse and to comply with law. Publicly publishing content authorises us to make it available through the relevant Club site until it is removed or the account ends, subject to backups and legal retention.
5. Acceptable use
You must not use Clubhouse to break the law; violate privacy, publicity or intellectual-property rights; publish unlawful, deceptive, hateful or abusive material; sell fraudulent or unauthorised tickets; manipulate results or financial records; misuse accreditation or access passes; probe or defeat security; introduce malware; scrape at unreasonable scale; impersonate another person; share QR credentials improperly; or interfere with another Club’s data or service.
Security research requires our prior written authorisation. Automated access is permitted only through interfaces and limits we approve.
6. Subscriptions, trials and payment
Available modules, prices, billing interval, taxes and material limitations are shown before an order. Paid access begins when payment is confirmed or when we expressly approve another arrangement. Trials are limited, may exclude features, and end on the stated date. Unless an order states otherwise, subscriptions renew for the same billing period until cancelled before renewal.
Fees are due in the displayed currency and are non-refundable except as stated in the applicable order, the Ticket & Refund Policy, or required by law. Failed or overdue payment may cause restricted access after reasonable notice. We may change future pricing or packaging with advance notice; a change does not retroactively alter a paid billing period.
7. Tickets, memberships and accreditation
The relevant Club is the organiser and seller of its match tickets and memberships unless checkout expressly identifies DDS as seller. The Club sets event details, admission rules, allocations, prices, accessibility arrangements, postponement decisions and applicant approvals. DDS supplies the transaction and access technology and may collect payment as a disclosed technology or payment intermediary.
A ticket or pass is a revocable licence for the named event and permitted area, not an unconditional right of entry. It may be rejected if forged, duplicated, refunded, cancelled, previously scanned, obtained unlawfully or used contrary to venue rules. Event-specific restrictions and statutory consumer rights continue to apply. Accreditation does not guarantee approval, access to every zone, parking, equipment permission or editorial facilities.
8. Third-party services
Clubhouse relies on hosting, authentication, storage, email, messaging, domain and payment providers. Their terms may apply to features you choose to use. We are not responsible for an external provider’s independent service, but this does not limit duties that the law places on us. Never send full payment-card details through a free-text field.
9. Availability, changes and support
We aim to provide a reliable service, including matchday operations, but do not promise uninterrupted or error-free availability. Maintenance, network failure, device limitations, third-party outages and force-majeure events may affect service. Clubs must maintain reasonable operational fallbacks for safety-critical admission and matchday work.
We may modify the service to improve security, performance or compliance. If a change materially reduces a paid core feature, we will provide reasonable notice where practicable and any remedy required by the applicable order or law.
10. Confidentiality and data protection
Each party must protect non-public business, supporter, staff and security information received through Clubhouse and use it only for authorised purposes. Our handling of personal data is described in the Privacy Notice. A Club remains responsible for its instructions and lawful basis when it enters or controls personal data in its workspace; DDS acts as service provider or processor for that data except where we determine a separate purpose described in the Privacy Notice.
11. Intellectual property
DDS and its licensors own Clubhouse software, interface, branding, documentation and related rights. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for its intended purpose. No right is granted to copy, resell, reverse engineer or create a competing service from protected elements except where law does not allow that restriction.
12. Suspension and termination
You may stop using Clubhouse. A Club may cancel according to its order or account controls. We may suspend or terminate access for material breach, unlawful conduct, security risk, non-payment or where required by law. Where appropriate, we will give notice and a reasonable opportunity to remedy. Serious fraud, abuse or security threats may require immediate action.
On termination, access rights end. Subject to law, unpaid amounts, confidentiality, ownership, liability, dispute and record-retention provisions survive. Clubs should export required records before termination; we may delete or anonymise data after the applicable retention period.
13. Warranties and liability
Clubhouse is provided with reasonable care and skill. To the fullest extent permitted by law, we exclude implied warranties that cannot reasonably apply to a hosted, evolving service. We do not guarantee sporting results, attendance, accreditation approval, continuous connectivity, third-party payment approval, or the accuracy of Club-supplied content.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence where applicable. Subject to that rule, neither party is liable for indirect or consequential loss, lost profit, lost opportunity or loss caused by the other party’s content, instructions or unauthorised use. For a paid Club claim, DDS’s aggregate liability arising from the service is limited to fees paid by that Club for the affected service during the 12 months before the event giving rise to the claim. For a free service, the limit is UGX 500,000. These limits do not reduce any mandatory consumer remedy.
14. Indemnity
A Club will defend and indemnify DDS against a third-party claim arising from the Club’s unlawful content, lack of required rights or consents, unauthorised ticket offering, or material breach of these Terms, except to the extent the claim was caused by DDS. DDS will promptly notify the Club and allow reasonable control of the defence; no settlement may impose an admission or non-monetary obligation on DDS without consent.
15. Changes to these Terms
We may update these Terms. We will identify the effective date and give reasonable advance notice of material changes. We will request fresh acceptance where a change materially affects rights or obligations. Changes required urgently for security or law may take effect sooner with notice as practicable.
16. Complaints, governing law and disputes
Send complaints to admin@digitaldignifiedsolutions.com. Include your account email, Club or event, transaction reference and the remedy requested. We will acknowledge and investigate within a reasonable period.
These Terms are governed by the laws of Uganda. The parties will first try in good faith to resolve a dispute through written negotiation. If it remains unresolved, the courts of competent jurisdiction in Uganda have jurisdiction. This section does not prevent urgent protective relief or a consumer from using a regulator, statutory complaint process or any forum that mandatory law makes available.
17. General
If one provision is unenforceable, the remainder continues. A delay in enforcing a right is not a waiver. You may not transfer this agreement without our consent; we may transfer it as part of a reorganisation, financing or sale while preserving applicable rights. These Terms, the Privacy Notice, the Ticket & Refund Policy, an accepted order and any signed data-processing terms form the agreement for their respective subject matter.
